Terms of Service

These terms govern your use of products and services provided by Cloudfy Systems LLP, including the Service Level Agreement (SLA) for Cloud & SaaS subscriptions.

1. General Terms

By purchasing, subscribing to, or using any product or service offered by Cloudfy Systems LLP (“Cloudfy”, “we”, “us”, or “our”), you (“Customer”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.

Cloudfy Systems LLP (LLPIN: AAN-7438, GST: 09AAOFC1060G1ZK) is a cloud and SaaS solutions company registered in India, operating as an authorised reseller and partner for Google, Microsoft, Cisco, Zoom, Adobe, Fortinet, Sophos and other OEM brands.

These Terms apply to all products sold or managed by Cloudfy, including but not limited to Google Workspace, Microsoft 365, Zoom, Cisco Webex, Sophos, Fortinet, Adobe Creative Cloud, Asana, Slack, and all other Cloud & SaaS subscriptions.

We reserve the right to update these Terms at any time. Continued use of our services after notification of changes constitutes acceptance of the updated Terms.

2. Service Level Agreement (SLA)

Applies to all Cloud & SaaS subscriptions managed and supported by Cloudfy Systems LLP

As your authorised reseller and support partner, Cloudfy Systems acts as the first line of support for all Cloud and SaaS subscriptions purchased through us. This SLA defines our support commitments, response times, escalation process, and the scope of services we provide on your behalf.

This SLA covers subscriptions managed by Cloudfy under the following product categories:

  • Email & Collaboration — Google Workspace, Microsoft 365, Zoho Mail, IceWarp, Zoho Workplace
  • Communication & Meetings — Zoom, Cisco Webex, Google Meet, Microsoft Teams, Slack
  • Productivity & Project Management — Asana, Adobe Creative Cloud, TeamViewer, AnyDesk
  • Cyber Security — Sophos, Fortinet, Seqrite, Bitdefender, Mimecast, Proofpoint and others
  • Cloud Infrastructure — Google Cloud Platform, Microsoft Azure, AWS
  • Business Applications — Dynamics 365, Zoho CRM, Zoho Books, Tally Prime, Power BI

2.1 Scope of Support

Cloudfy's support is structured in two tiers. Standard Support is included at no additional charge for all active subscriptions. Advanced Professional Services are available separately — either under Cloudfy's MSP Programme or by prior written agreement for qualifying accounts.

  • Annual vs monthly plan comparison guidance

Advanced Professional Services — MSP Programme or prior agreement required

The following services require planning, scoping and dedicated resource allocation. They are not included in standard subscription support. They are available to customers on Cloudfy's MSP Programme, or to qualifying accounts where the scope is agreed in writing before the engagement begins.

Response times are measured during standard support hours. Timers pause outside business hours and on public holidays. Resolution targets are estimates — complex issues routed to OEM vendors may take longer depending on vendor SLAs.

2.3 Escalation & OEM Ticket Assistance

When an issue cannot be resolved at the first-line support level, Cloudfy Systems will escalate it to the relevant OEM vendor on your behalf. You do not need to contact Google, Microsoft, Zoom or any other vendor directly — we manage the escalation end-to-end, including ticket creation, follow-up and status updates.

OEM Escalation: How It Works

    You raise a support request with Cloudfy

    Via phone, WhatsApp, or email. We log a ticket and begin first-line diagnosis.

  2. 2

    First-line resolution attempt

    Cloudfy's team attempts to resolve the issue using admin console access, diagnostic tools, and expertise. Most issues are resolved at this stage.

  3. 3

    Escalation decision

    If the issue requires OEM vendor intervention (platform bug, backend provisioning error, outage), Cloudfy raises a support ticket with the OEM on your behalf.

  4. 4

    OEM ticket creation and communication

    We provide full issue context, diagnostic logs and account details to the OEM. You receive the ticket reference number for your records.

  5. 5

    Status updates and resolution

    Cloudfy tracks the OEM ticket and provides you with regular status updates until resolution is confirmed and the issue is closed.

OEM response times after ticket creation are governed by the respective vendor's own SLA and support tier. Cloudfy does not control OEM resolution timelines but will actively chase and follow up on all open tickets.

2.4 Exclusions — What Standard Support Does Not Cover

The following are outside the scope of Cloudfy's standard first-line support. Items marked with are available as Advanced Professional Services (see Section 2.1) under the MSP Programme or by prior written agreement.

  • Support for licences or subscriptions not purchased through or managed by Cloudfy
  • Data recovery from accidental deletion beyond OEM platform retention windows
  • Training workshops and user adoption programmes (available as a separate service)
  • Platform outages caused by the OEM — governed by the respective vendor's uptime SLA

Advanced Services marked above are not excluded permanently — they are available through Cloudfy's MSP Programme or under a separately scoped Statement of Work (SOW). Contact us to discuss eligibility and pricing before the engagement begins.

Service Uptime

The uptime of SaaS platforms (Google Workspace, Microsoft 365, Zoom, etc.) is governed exclusively by each OEM vendor's Service Level Agreement, not by Cloudfy Systems. Google Workspace, for example, has a published 99.9% uptime SLA. Cloudfy will assist you in accessing SLA credits from the OEM in the event of a qualifying service disruption.

3. Payment & Billing

All prices quoted by Cloudfy Systems are in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise. Tax invoices will be issued with GST number 09AAOFC1060G1ZK.

Payments are due within the period stated on the invoice. Cloudfy reserves the right to suspend access to managed services if payment is not received by the due date, following advance notice to the Customer.

Refunds on SaaS subscriptions are subject to OEM refund policies. Annual subscriptions are generally non-refundable after activation. Cloudfy will assist in applying for refunds where OEM policy allows.

Licence counts may be adjusted during the subscription period. Additional licences are billed on a prorated basis. Licence reductions take effect at the next renewal unless otherwise agreed.

4. Subscriptions & Renewal

SaaS subscriptions are provided on an annual or monthly basis as chosen at purchase. Cloudfy will send renewal reminders no fewer than 30 days before expiry for annual subscriptions and 7 days before expiry for monthly subscriptions.

Auto-renewal applies to monthly subscriptions unless cancelled in writing at least 7 days before the renewal date. Annual subscriptions require written notice of non-renewal at least 30 days before the renewal date.

Cloudfy will notify the Customer of any OEM-driven price changes before the renewal date. Continued renewal constitutes acceptance of the updated pricing.

5. Intellectual Property

All OEM products (Google Workspace, Microsoft 365, etc.) are the intellectual property of their respective vendors. Cloudfy Systems does not claim ownership of any OEM software or platform.

Customer data stored within SaaS platforms remains the property of the Customer. Cloudfy will not access customer data without explicit consent, except for the purpose of resolving a reported support issue.

Cloudfy Systems retains ownership of any custom configuration guides, documentation, or implementation deliverables created specifically for the Customer under a separate engagement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Cloudfy Systems' total liability to the Customer for any claim arising from or related to services provided shall not exceed the total fees paid by the Customer to Cloudfy in the 12 months preceding the claim.

Cloudfy Systems shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.

Cloudfy is not liable for service interruptions, data loss, or security incidents caused by OEM platform outages, force majeure events, or the Customer's own actions or omissions.

7. Governing Law & Disputes

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India. The parties submit to the exclusive jurisdiction of the courts of Agra, Uttar Pradesh, India.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India).
